Terms of Service

1. Acceptance of Terms

By engaging e-expander Digital Studio ("Company", "we", "us", or "our") for any services, you ("Client", "you", or "your") agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and e-expander Digital Studio.

If you do not agree with these terms, please do not engage our services. We reserve the right to modify these terms at any time, with changes effective upon posting to our website.

2. Services Description

e-expander Digital Studio provides professional digital services including but not limited to:

• Custom website design and development
• Mobile app development (iOS & Android)
• Digital marketing and PPC campaign management
• Search engine optimization (SEO) and content strategy
• Website performance optimization and maintenance
• Brand identity design and consultation

Specific services, deliverables, timelines, and costs will be detailed in a project proposal or statement of work for each engagement.

3. Client Responsibilities

To ensure successful project completion, clients agree to:

• Timely Communication: Respond to requests for information, feedback, and approvals within agreed timelines
• Content Provision: Provide all necessary content (text, images, logos, branding assets) in usable formats
• Access Credentials: Provide necessary access to hosting, domains, analytics, and third-party platforms
• Legal Compliance: Ensure all provided content complies with copyright, trademark, and privacy laws
• Feedback: Provide clear, consolidated feedback during review stages

4. Payment Terms

4.1 Pricing

All project costs will be outlined in a formal proposal or contract. Standard pricing structures include:

• Fixed-Price Projects: Total cost agreed upon before project commencement
• Hourly Billing: For ongoing support, maintenance, or consulting at our standard hourly rate of ₹2,500/hour
• Monthly Retainers: For continuous services with agreed scope and deliverables

4.2 Payment Schedule

Standard payment terms for fixed-price projects:

• 50% deposit required to commence work
• Remaining 50% due upon project completion and before final delivery

For larger projects (above ₹50,000), milestone-based payments may be arranged.

4.3 Payment Methods

We accept payments via:

• UPI (PhonePe, Google Pay, Paytm)
• Bank transfer (NEFT/RTGS/IMPS)
• Credit/Debit cards
• Online payment gateways

4.4 Late Payments

Invoices are due within 7 days of issuance unless otherwise specified. Late payments may incur a 2% monthly interest charge and may result in project suspension until payment is received.

4.5 GST

All prices are exclusive of GST (Goods and Services Tax). Applicable GST will be added to invoices as per Indian tax regulations.

5. Intellectual Property Rights

5.1 Client-Owned IP

Upon full payment, clients receive ownership of:

• Custom code and designs created specifically for the project
• Final deliverables as specified in the project agreement
• All project-specific content and assets

5.2 Company-Retained IP

e-expander Digital Studio retains ownership of:

• Pre-existing code libraries, frameworks, and tools
• General methodologies, processes, and techniques
• Reusable components and templates

5.3 Third-Party Components

Projects may include third-party libraries, plugins, or services governed by their respective licenses. Clients are responsible for complying with these licenses.

5.4 Portfolio Rights

Unless explicitly prohibited by confidentiality agreements, e-expander retains the right to display completed projects in our portfolio, case studies, and marketing materials.

6. Confidentiality

We respect client confidentiality and will not disclose sensitive business information, proprietary data, or personal details without explicit permission, except as required by law.

For projects requiring enhanced confidentiality, separate Non-Disclosure Agreements (NDAs) can be executed.

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that:

• Services will be performed with professional skill and care
• Deliverables will substantially conform to agreed specifications
• We have the right to provide the services and grant IP rights

7.2 Warranty Period

For 30 days after project completion, we will fix bugs or technical issues in delivered work at no additional charge, provided the issue existed at the time of delivery and was not caused by client modifications or third-party integrations.

7.3 Disclaimers

We do not warrant:

• Specific business outcomes, traffic volumes, or conversion rates
• Search engine rankings or SEO performance guarantees
• Compatibility with future third-party platform updates
• Uninterrupted or error-free operation of third-party services

8. Limitation of Liability

To the maximum extent permitted by Indian law:

• Our total liability shall not exceed the total project fees paid by the client
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for client's lost profits, revenue, or business opportunities
• We are not responsible for damages caused by client negligence or third-party services

9. Project Termination

9.1 Termination by Client

Clients may terminate a project with written notice. In such cases:

• Client will pay for all work completed up to termination date
• No refunds will be provided for deposits or completed milestones
• Client receives rights only to paid and completed deliverables

9.2 Termination by Company

We may terminate a project if:

• Client fails to pay invoices after 30 days
• Client breaches these terms
• Client engages in abusive or threatening behavior
• Project requirements fundamentally change without compensation adjustment

10. Governing Law

These Terms of Service are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh.

Both parties agree to attempt good-faith resolution of disputes before pursuing legal action.
